Commission-Based Work Policy

At Basel Elkafafy, we are committed to providing flexible and innovative collaboration opportunities. This policy outlines the terms and conditions for projects completed on a commission basis instead of traditional monetary payment methods, including provisions for Shopify admin account management. This policy is designed to protect both parties, ensure transparency, and foster a successful partnership.

1. Agreement and Scope

  • Before starting any project, both parties must sign a formal agreement detailing:
    • The specific tasks and deliverables to be completed.
    • The agreed-upon commission percentage or structure.
    • The timeline for project completion and payment reporting.
    • The duration of the commission-based arrangement.
  • Any additional terms or modifications must be agreed upon in writing.

2. Shopify Admin Account Access

  • To ensure transparency and accurate commission calculations, the client agrees to temporarily transfer primary admin access of their Shopify store to Basel Elkafafy for the duration of the commission period.
  • During this time:
    • Basel Elkafafy’s team will manage the account to monitor sales, revenue, and performance metrics directly.
    • Admin access ensures accurate tracking of earnings, minimizes discrepancies, and upholds the integrity of the commission agreement.
  • Upon the completion of the commission period:
    • Full admin control of the Shopify store will be returned to the client.
    • A final report of earnings and commissions will be provided for review.
  • Client Safeguards:
    • Basel Elkafafy will not make any unauthorized changes to the store, its products, or its branding without prior consent.
    • All activities will align with the agreed-upon deliverables and scope of the project.

3. Proof of Earnings and Transparency

  • Clients must provide additional access to any relevant financial and performance reports, including:
    • Shopify dashboard analytics.
    • Sales revenue and transaction history.
    • Any supplementary financial records required to calculate commissions.
  • Reports must be shared on a bi-weekly or monthly basis, as outlined in the agreement.

4. Payment Terms

  • Commissions will be calculated based on net revenue, excluding:
    • Refunds or chargebacks.
    • Value Added Tax (VAT) or any other applicable taxes.
    • Shipping or delivery costs.
  • Payments will be processed in Egyptian pounds (EGP) or another agreed-upon currency.
  • Payments must be completed within 7 days of receiving verified reports from Basel Elkafafy.

5. Minimum Guarantee

  • For projects requiring significant effort, resources, or time investment, a minimum guaranteed payment may be required. This amount will be negotiated and clearly stated in the agreement.

6. Termination of Agreement

  • Either party may terminate the agreement with 30 days’ written notice, provided:
    • All outstanding commissions are paid in full.
    • All deliverables and access are properly handed over.
  • In the event of a policy violation or breach of trust, immediate termination may occur.

7. Fraud and Non-Compliance Clause

  • The following actions are strictly prohibited and considered violations of this policy:
    • Misrepresentation of earnings or sales data.
    • Deliberate withholding of payment or performance reports.
    • Unauthorized attempts to revoke admin access during the commission period.
    • Any fraudulent activity aimed at evading payment or the terms of the agreement.
  • Violations will result in immediate termination of the agreement, and legal action may be pursued under Egyptian law.

8. Confidentiality

  • All financial and performance data shared or accessed during the commission period are strictly confidential.
  • Basel Elkafafy will not disclose any sensitive information to third parties without prior written consent from the client.

9. Dispute Resolution

  • In the event of a dispute, both parties agree to:
    • Attempt resolution through mediation.
    • If mediation fails, disputes will be resolved through arbitration under Egyptian law.
    • The location for arbitration will be determined as per mutual agreement.

10. Governing Law

  • This policy and all associated agreements are governed by the laws of the Arab Republic of Egypt.

11. Policy Updates

  • Basel Elkafafy reserves the right to update or modify this policy at any time.
  • Clients will be notified of any changes at least 30 days in advance.
